What Is A Nexa Agreement
The relationship between the parties is that of independent contractors. No provision in this agreement should be construed as constituting the creation of an agency, partnership, joint venture or other form of joint venture, employment or fiduciary relationship between the parties, and neither party has the authority to engage or engage the other party in any way. The need for a shareholder contract is even greater when there are an equal number of shareholders with equal rights (i.e. two shareholders who each hold 50% of the issued shares), because a “deadlock” could occur, that is, a position where shareholders cannot agree on the best path and there is not a sufficient majority to make a decision. The agreement should therefore provide procedures for in the event of an impasse. (d) service charges. Our fees are charged per cycle. Cycle periods are indicated in the service plan and are either weekly, monthly or 28 days, unless otherwise stated in the service plan. There are three types of fees that are calculated in relation to our services. First, we charge a recurring fixed fee, as described in the service plan, which includes the basic fee for the number of minutes (either for billing work time or for speaking time) or calls (for call billing) assigned in the service plan. Recurring fees are due in advance on the first day of the billing period.
Then, we will charge a variable overrun fee if your use of time or calls exceeds, if any, what is in your basic rate (“use of aging”) and if such a variable overrun fee is late on the first day of the next billing period. Finally, we may charge certain other fees, as described in more detail in Section 2 (“Various Rates”) of these Terms. You are responsible for paying all these fees in addition to sales and usage taxes that are based on the address you indicate when you sign up for the service plan. They agree to pay all sales and usage taxes without notice.
